1. Acceptance of Terms

By accessing, using, or interacting with any services provided by TOCO ("we", "us", "our"), including but not limited to the token-based billing system at participating establishments, you ("User", "Customer", "Merchant") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions ("Terms"). Merchants utilizing TOCO devices, software, dashboards, APIs, or any related integrations are similarly bound by these Terms. If you do not agree to these Terms, you must discontinue use of our services immediately.

2. Description of Services

TOCO operates a transaction management and loss-prevention support system designed for micro-enterprises, small food establishments, and similar retail operations. The platform facilitates:

  • Generation of temporary visit tokens for transaction tracking
  • Association of items and services with unique token identifiers
  • Real-time bill display and payment status via QR code technology
  • Payment completion tracking and reconciliation

Disclaimer: TOCO is not a bank, financial institution, or payment processor. All monetary transactions are processed by third-party payment gateways and UPI service providers. TOCO merely facilitates the linking of payment intents and does not hold, process, or transfer funds directly.

3. User Responsibilities and Obligations

3.1 Merchant Obligations:

  • All served items must be accurately entered and associated with a valid token
  • Tokens shall not be closed or archived without appropriate payment status designation
  • Staff and personnel must not bypass, circumvent, or manipulate the token system
  • Merchants are responsible for ensuring compliance with applicable local laws and regulations

3.2 Customer Obligations:

  • Customers must pay the full billed amount as displayed on the token QR page
  • Customers must not engage in fraudulent or deceptive payment practices
  • Customers are responsible for verifying order accuracy before payment

4. Payments, Transactions, and Refunds

All payments processed through TOCO-linked systems are considered final upon confirmation by the respective payment gateway or UPI service provider. TOCO does not independently verify payment completion and relies on payment gateway confirmations for status updates.

Refunds, cancellations, and related disputes are governed exclusively by theRefund & Cancellation Policypublished on this website. Users are advised to review said policy prior to initiating any transactions.

5. Data Collection, Processing, and Usage

5.1 Operational Data: In the course of providing services, TOCO collects and processes operational data including but not limited to: token identifiers, order items, transaction timestamps, payment status indicators, device identifiers, and session metadata. Such data is utilized solely for billing reconciliation, fraud prevention, dispute resolution, system optimization, and service improvement.

5.2 Biometric Data Processing: Certain TOCO implementations may utilize facial detection and recognition technologies for customer identification, queue management, and loss prevention purposes. Where such technologies are deployed:

  • Facial data is processed locally on merchant premises where technically feasible
  • Biometric templates are generated for identification purposes only
  • Facial data associated with completed and paid transactions is automatically purged from active systems upon session completion
  • Retention periods for disputed or flagged transactions may vary as required for investigation purposes
  • TOCO does not sell, license, or otherwise commercialize biometric data to third parties

5.3 Data Retention: Transactional records may be retained for periods required by applicable law, regulatory requirements, or legitimate business purposes including audit trails and dispute resolution. Personally identifiable information is retained only as long as necessary to fulfill the purposes outlined herein.

5.4 Third-Party Disclosure: TOCO does not sell, rent, or lease operational or personal data to third parties for marketing purposes. Data may be disclosed to: (a) payment processors and gateways for transaction completion; (b) law enforcement agencies pursuant to valid legal process; (c) professional advisors under confidentiality obligations; (d) successor entities in the event of merger, acquisition, or asset sale.

6. Information Security

TOCO implements reasonable technical, administrative, and organizational safeguards designed to protect system integrity and transaction data against unauthorized access, alteration, disclosure, or destruction. Security measures include but are not limited to encryption protocols, access controls, and monitoring systems. Notwithstanding the foregoing, no method of electronic transmission or storage is completely secure, and TOCO cannot guarantee absolute security of data. Users acknowledge and accept inherent risks associated with digital systems and internet-based services.

7. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, TOCO AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

  • Quality, safety, hygiene, or preparation of food or goods provided by merchants
  • Acts, omissions, misconduct, or negligence of merchant staff or personnel
  • Failures, delays, or errors attributable to payment gateways, banks, or UPI service providers
  • Network outages, power failures, device malfunctions, or other technical disruptions
  • Indirect, incidental, special, consequential, or punitive damages of any kind
  • Loss of profits, revenue, data, or business opportunities

IN NO EVENT SHALL TOCO'S AGGREGATE LIABILITY EXCEED THE GREATER OF: (A) THE FEES PAID BY THE MERCHANT TO TOCO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) INDIAN RUPEES FIFTY THOUSAND (INR 50,000). THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF TOCO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. Prohibited Conduct

Users and merchants shall not, and shall not permit others to:

  • Tamper with, reverse engineer, or modify TOCO devices, software, or token systems
  • Utilize the system for any unlawful, fraudulent, or unauthorized purpose
  • Attempt to manipulate, falsify, or corrupt payment records or order data
  • Interfere with or disrupt system operations or network infrastructure
  • Circumvent security measures or access controls
  • Impersonate any person or entity or misrepresent affiliation

TOCO reserves the right, in its sole discretion, to suspend, restrict, or terminate access to services without prior notice in cases of suspected or confirmed misuse, violation of these Terms, or conduct detrimental to TOCO, its merchants, customers, or third parties.

9. Intellectual Property Rights

All intellectual property rights in and to the TOCO platform, including but not limited to software, algorithms, designs, logos, trademarks, trade names, and documentation, are and shall remain the exclusive property of TOCO or its licensors. No license, right, or interest in such intellectual property is granted or implied except as expressly set forth herein. Users shall not copy, reproduce, modify, distribute, or create derivative works without prior written authorization.

10. Indemnification

You agree to indemnify, defend, and hold harmless TOCO and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of or access to the services; (b) your violation of these Terms; (c) your violation of any rights of any third party; or (d) any content or data you submit or transmit through the services.

11. Modifications to Terms

TOCO reserves the right to modify, amend, or update these Terms at any time without prior notice. The effective date at the top of this document indicates the most recent revision. Continued use of services following any modifications constitutes acceptance of such changes. Users are encouraged to review these Terms periodically. Material changes may be communicated through the platform or via registered contact information where practicable.

12. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to render it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

13. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or validity thereof shall be subject to the exclusive jurisdiction of the courts located in Kerala, India. The parties hereby consent to personal jurisdiction and venue in such courts and waive any objection based on inconvenient forum.
